1. PURPOSE AND CONTENT OF THIS FSG

This Financial Services Guide (FSG) is provided by OKX Australia Financial Pty Ltd (ABN 14 145 724 509) ("OKX", "we" or "us").

This FSG is provided to you because you are, or may be, a retail client for the purposes of the Corporations Act 2001 (Cth) (Corporations Act). Under Part 7.7 of the Corporations Act, a financial services licensee must provide a Financial Services Guide to retail clients when providing financial services.

We also provide financial services to wholesale clients. Wholesale clients are not required to be given this FSG under the Corporations Act and different disclosure obligations apply to those clients.This FSG applies to financial services that we provide under our Australian financial services licence (AFSL). These may include services in relation to:

  • derivatives (including over-the-counter derivative products issued by us); and

  • other financial products for which we are authorised under our AFSL from time to time.

Not all authorised services or financial products may be available at all times. Where we introduce additional financial products or services, we will update this FSG where required.This FSG is designed to assist you in deciding whether to use the financial services we provide. It contains important information about:

  • who we are and how you can contact us;

  • the financial services and financial products we are authorised to provide;

  • how we (and certain other persons) are remunerated;

  • any relationships or associations that may influence our services;

  • how we manage conflicts of interest;

  • how you may provide instructions to us;

  • our internal and external dispute resolution procedures; and

  • our professional indemnity insurance and compensation arrangements.

Where required under Part 7.8A of the Corporations Act, a Target Market Determination (TMD) will also be available.

You should read this FSG together with any applicable PDS, TMD and our Terms of Service - Australia before deciding whether to acquire a financial product or use our financial services. We may provide you with a PDS before you acquire a financial product, which will contain important information about our financial products including their key benefits, risks, features and fees.

This FSG does not constitute financial product advice. You should consider obtaining independent advice before making any financial decisions.

Our AFSL authorises us to provide financial services in respect of certain financial products, including derivatives and other financial products specified in our licence.

We are the issuer and provider of the financial products described in this FSG and any associated Product Disclosure Statement (PDS).

Our Role When Providing Financial Services

When providing derivative products:

  • we act as principal and issuer;

  • we are the counterparty to your transactions; and

  • we do not act as your agent, broker, trustee or fiduciary.

Where we provide other financial products in the future, the relevant disclosure document will specify whether we act as issuer or distributor.

Representatives

Financial services are provided by our directors, responsible managers, employees and authorised representatives. All representatives are appropriately trained and supervised in accordance with the Corporations Act and ASIC Regulatory Guide 146. We are responsible for the financial services provided by our representatives acting within the scope of their authority.

OKX Australia Financial Pty Ltd is part of a broader corporate group.Spot digital asset trading services (where the digital asset is not a financial product) are provided by OKX Australia Pty Ltd, a separate legal entity regulated as a Digital Currency Exchange under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) and supervised by AUSTRAC.Those services are not provided under our AFSL and are not covered by this FSG.The consumer protections and disclosure obligations under Chapter 7 of the Corporations Act do not apply to those spot digital asset services.

3. FINANCIAL SERVICES AND PRODUCTS WE ARE AUTHORISED TO PROVIDE

OKX is authorised by ASIC to provide financial services to retail and wholesale clients in relation to derivatives and securities, including to:

  • provide general financial product advice in relation to derivatives and securities;

  • issue and deal in derivatives;

  • deal in derivatives and securities on behalf of another person; and

  • make a market in derivatives.

Not all authorised financial services may be available at all times.

2. No Personal Advice

If you require personal advice specific to your particular financial situation, objectives or needs, you will need to speak to your financial adviser. OKX's policy is not to give personal advice. Any discussions with OKX employees about their view of current or future market conditions or prospects for a particular product is not personal advice. Rather, they should be regarded as general information only that does not take into account any of your personal circumstances.

As a result, you should, before acting on any general advice we may give, consider the appropriateness of the advice and the product, having regard to your own objectives, financial situation, and needs. We do not provide personal advice.

3. Execution-Only Service

Our trading platform operates on an execution-only basis.We:

  • do not provide trade recommendations;

  • do not monitor the suitability of your trades; and

  • do not provide portfolio management services.

You are solely responsible for your trading decisions.

4. INSTRUCTIONS AND COMMUNICATIONS

Dealing Instructions (Trading)

Dealing instructions to open, close, or vary your derivative positions may only be given via the dedicated OKX trading platform.

We do not accept dealing instructions by telephone, email, written letter, or any other method of communication. This is a special requirement designed to protect you and us by ensuring all trading instructions are time-stamped and recorded through the platform interface.

Other Communications

Instructions relating to account administration (for example, requests to update account details or general account enquiries) may be communicated through the contact channels we make available from time to time, including through our platform interface or other approved communication channels. For security purposes, we may require verification or confirmation of such instructions before acting on them.

5. FEES AND CHARGES

We do not charge any specific fee for providing general information or general financial product advice about our products.

As the issuer of the derivative products described in the relevant Product Disclosure Statement (PDS), we may receive fees, charges and other amounts in connection with transactions entered into with us. This section provides a general summary of the types of fees and charges that may apply. Detailed information, including worked examples where required, is set out in the relevant PDS.

All fees, charges and other amounts payable in connection with our products are subject to change from time to time in accordance with the terms of the relevant product documentation.Fees and charges associated with trading in our derivative products may include, where applicable:

  • trading or execution fees (including maker/taker fees, where applicable);

  • funding payments or funding rate adjustments between counterparties;

  • bid/ask spreads or pricing adjustments incorporated into quoted prices;

  • liquidation, close-out or margin-related fees;

  • conversion fees; and

  • other transaction-based or account-related charges.

You should refer to the relevant PDS for a definition and detailed explanation of each applicable fee, including the method of calculation, timing and circumstances in which the fee may be charged.

6. REMUNERATION AND BENEFITS

Our Remuneration

We receive revenue in connection with the financial services and derivative products we provide. This revenue may arise from trading or execution fees, spreads incorporated into quoted prices, funding rate payments or differentials, and other fees or charges described in the relevant Product Disclosure Statement.

Staff Remuneration

Our employees are primarily remunerated through fixed salaries and standard employment benefits. In addition to base salary, employees may be eligible to receive discretionary bonuses or other performance-based incentives. These incentives may be determined by reference to a range of factors including individual performance, the performance of the relevant business unit, and overall company performance.

Employees may also be eligible for performance-based incentives or other monetary rewards, which may be determined by reference to predetermined business objectives such as overall company performance, quality of client service, adherence to risk management requirements and other business outcomes.

Third Party Suppliers

At our discretion, we may enter into arrangements with third party suppliers, including introducers, affiliates or other referral partners, who may directly or indirectly introduce clients to us. In connection with these arrangements, we may share a portion of the revenue generated from your trading activity with those parties as consideration for the services they provide. These payments may be made on a one-off or ongoing basis.

You may request particulars of remuneration or other benefits within a reasonable time after receiving this FSG and before any financial service is provided.

7. COMPLAINTS HANDLING

Internal Dispute Resolution (IDR)

We have an internal dispute resolution process that complies with ASIC Regulatory Guide 271 Internal dispute resolution.

We aim to acknowledge complaints within one business day and provide a written response within 30 calendar days.

External Dispute Resolution (EDR)

OKX is a member of an external dispute resolution scheme operated by the Australian Financial Complaints Authority (AFCA). If a complaint about our financial products and financial services cannot be resolved internally, you may refer your complaint to the AFCA within 2 years of the date of OKX’s final response to you. AFCA provides fair and independent financial services complaint resolution that is free to all consumers.

8. COMPENSATION ARRANGEMENTS

OKX maintains professional indemnity insurance in compliance with Section 912B of the Corporations Act. This policy covers claims made against us for loss or damage suffered by clients due to breaches of our regulatory obligations by current and former employees.

9. OTHER IMPORTANT INFORMATION

OKX operates under a group structure in which different services may be provided by separate legal entities. This Financial Services Guide applies only to the financial services provided by OKX Australia Financial Pty Ltd under its AFSL.

Other services available through the broader OKX platform, including certain digital asset trading or related services provided by other OKX group entities, may not be financial products or financial services regulated under Chapter 7 of the Corporations Act 2001 (Cth). Where such services are provided by another entity, they are not covered by this FSG and may be subject to different regulatory frameworks.
